Investment / Business-Purpose Only. Private Lender HQ is a referral and deal placement platform for investment or business-purpose lending (e.g., non-owner-occupied rental, fix-and-flip, commercial uses). We do not market, arrange, or originate consumer residential mortgage loans for personal, family, or household use.

1) Introduction

These Terms of Service (“Terms”) govern your access to and use of the websites, forms, portals, referral programs, and related services provided by Private Lender HQ (“PLHQ,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms.

2) Eligibility

  • You must be at least 18 years old and using the services for business or investment purposes.
  • You represent and warrant that submissions you make relate to non-owner-occupied or commercial/investment transactions, not consumer residential mortgages.

3) Nature of Services; Not a Lender or Advisor

  • PLHQ operates a referral/deal placement platform that connects real estate professionals, private lenders, and other market participants for business-purpose lending opportunities.
  • PLHQ is not a bank, lender, or mortgage broker for consumer residential loans, and does not provide legal, tax, accounting, or financial advice.
  • Any term sheets, quotes, or decisions are solely those of the lender or counterparty.

4) Investment-Purpose Only

All referrals, submissions, and transactions facilitated through PLHQ must be for investment or business purposes. Consumer-purpose (owner-occupied) residential mortgages are outside the scope of our services.

5) User Responsibilities & Compliance

  • Provide accurate and complete information in all submissions.
  • Comply with all applicable laws, including any state-level licensing requirements for business-purpose mortgage referrals, brokering, advertising, or lead generation.
  • Refrain from holding yourself out as a consumer mortgage originator unless properly licensed and operating outside PLHQ.

6) Referral Program Terms

  • Eligibility. Referral fees (if any) are paid solely on business-purpose transactions and only where permitted by applicable law and contract.
  • No consumer RESPA referrals. PLHQ does not pay or accept referral fees on consumer residential mortgage transactions.
  • Payment. Any referral compensation, amounts, timing, and conditions (e.g., successful closing, funding) will be set forth in a separate written agreement.
  • Taxes. You are responsible for any tax reporting and payments related to compensation received.

7) Prohibited Conduct

  • Submitting owner-occupied/consumer mortgage leads or advertising PLHQ for consumer residential lending.
  • Misrepresenting deals, parties, or your licensure or authority.
  • Interfering with platform security or attempting to access another user’s data.

8) Intellectual Property

Content on the services is owned by PLHQ or its licensors and protected by law. You may not copy, modify, distribute, or create derivative works without permission.

9) SMS/Text Terms

  • By providing a mobile number, you consent to receive transactional and marketing texts related to business-purpose lending and referrals. Message & data rates may apply.
  • Reply STOP to opt out; HELP for help.

10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLHQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY DEAL WILL CLOSE OR FUND.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLHQ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO PLHQ IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.

12) Indemnification

You will defend, indemnify, and hold harmless PLHQ from any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the services, submissions, misrepresentations, or violations of these Terms or applicable law.

13) Governing Law; Disputes

These Terms are governed by the laws of the State of Washington, without regard to conflicts of law principles. Any disputes will be resolved in the state or federal courts located in King County, Washington, and you consent to jurisdiction there.

14) Changes

We may update these Terms from time to time. Material changes will be posted with a new “Last updated” date. Your continued use constitutes acceptance.
